CONFIDENTIALITY/ NON-DISCLOSURE TERMS

By making payment in full towards class, you represent that you have read and agree to J.Adler Lashes’ CONFIDENTIALITY/ NON-DISCLOSURE TERMS set forth below.

You understand that all materials, training tools, agreements, and other information or documents that you see or receive as part of your training are the exclusive property of, or licensed to, J.Adler Lashes LLC and are privileged, confidential information. You agree that you will not copy, distribute, sell or provide to others any such materials, and any other personal, confidential and proprietary information of J.Adler Lashes LLC, it’s owners, trainers or representatives.

MISCELLANEOUS TERMS

Governing Law, Dispute Resolution, and Venue. These policies shall be governed by and interpreted under the laws of the State of Minnesota. If any dispute or claim arises between you and J.Adler Lashes LLC, you agree to first try to resolve the issue through mediation. J.Adler Lashes LLC may bypass mediation to protect its rights where injunctive or other immediate relief is necessary. If mediation does not result in agreement, you and J.Adler Lashes LLC agree to courts in Hennepin County, Minnesota, as the venue for any litigation regarding any dispute or claim between them.

LIMITATION OF LIABILITY. ABSENT ITS WILLFUL OR INTENTIONAL MISCONDUCT, YOU AGREE THAT J.ADLER LASHES LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RESULTING FROM THE TRAINING, PRODUCTS OR OTHER SERVICES REFERRED TO THIS AGREEMENT. YOU FURTHER AGREE THAT THE MAXIMUM AMOUNT OF DAMAGES THAT YOU ARE ENTITLED TO, IN ANY CLAIM AGAINST J.ADLER LASHES LLC ARISING OUT OF OR RELATING TO THE TRAINING, PRODUCTS OR SERVICES, WILL NOT EXCEED THE AMOUNT THAT YOU HAVE PAID TO J.ADLER LASHES LLC FOR THE TRAINING, PRODUCTS OR SERVICES.

Idemnification. You agree to indemnify J.Adler Lashes LLC and hold it harmless from and against all claims, damages, losses and expenses, including reasonable fees and expenses of attorneys and other professionals, relating to any claim made against J.Adler Lashes LLC or any obligation imposed by law on it, as a result of your actions.

Waiver. No waiver of any default by J.Adler Lashes LLC shall be implied from any ommission to take any action on account of such default and no waiver shall affect any default, other than the specific default waived.

Severability. If any of these policies shall be declared invalid or enforceable, than either of us may ask a court to modify those policies, to make them enforceable and to most closely carry out the intent of the initial policies. All remaining policies shall continue in full force and effect.

Binding Effect and Changes of These Policies. These policies shall be binding upon you, your heirs and your representatives. Any change to these policies must be in writing accepted by J.Adler Lashes LLC and you.
